Terms of Service
These terms explain how you may use OmniLocal during beta and waitlist access, including accounts, Google OAuth, connected Google Business Profiles, visibility data, and service expectations.

Acceptance of these terms
These Terms of Service govern your access to and use of OmniLocal, including our website, beta waitlist, visibility intelligence software, reports, communications, and related services. OmniLocal is operated by Simple Stack LLC DBA OmniLocal, located at 801 W Bay Dr STE 100, Largo, FL 33770.
By accessing OmniLocal, joining the waitlist, creating an account, connecting a Google Business Profile, or using any part of the service, you agree to these terms. If you do not agree, do not use OmniLocal.
What OmniLocal provides
OmniLocal is visibility intelligence software. We help businesses understand where they are visible online, where they are not visible, and what actions may help them become more visible across Google and related local discovery surfaces.
OmniLocal may include visibility reports, search placement analysis, competitor comparisons, Google Business Profile insights, review and reputation context, recommendations, beta features, waitlist communications, and related operational tools.
Beta and waitlist status
OmniLocal is currently in beta and waitlist mode. Beta features may be incomplete, change frequently, become unavailable, or be removed. We may limit access, invite users in batches, pause onboarding, or change the scope of the beta at any time.
Feedback you provide about OmniLocal may be used to improve the product. Unless separately agreed in writing, feedback does not create any ownership, compensation, or confidentiality obligation.
Eligibility and U.S. availability
OmniLocal is intended for businesses and users located in the United States. You must be at least 18 years old and able to form a binding agreement to use the service.
If you use OmniLocal on behalf of a company or organization, you represent that you have authority to bind that organization to these terms.
Accounts, Clerk, and Google OAuth
OmniLocal may use Clerk and Google OAuth for authentication and account access. When you sign in with Google or connect a Google Business Profile, you authorize OmniLocal and our service providers to process the account information and permissions needed to provide the service.
Connecting Google for login is not the same as granting access to every Google product you use. Access to Google Business Profile data depends on the permissions requested and approved during the connection flow. You are responsible for ensuring that you have authority to connect any Google account, Business Profile, location, or related business data.
Your use of Google services, Clerk authentication, and any connected third-party services is also subject to those providers' own terms and policies.
Business data and connected profiles
You may submit or connect business information, contact information, Google Business Profile data, review data, search visibility data, website information, and related materials. You retain ownership of your business data, but grant OmniLocal permission to use it as needed to operate, secure, analyze, improve, and provide the service.
You are responsible for the accuracy, legality, and authority of the data you provide or connect. Do not submit data that you do not have the right to use.
Acceptable use
You agree not to misuse OmniLocal. Prohibited uses include:
- Accessing data, accounts, or profiles without authorization.
- Attempting to disrupt, reverse engineer, scrape, or overload the service.
- Submitting false, misleading, infringing, or unlawful content.
- Using OmniLocal to violate Google policies or any applicable law.
- Sharing login credentials or bypassing access controls.
- Using the service to harm OmniLocal, other users, or third parties.
Third-party services
OmniLocal may rely on third-party services for authentication, scheduling, hosting, analytics, content management, communications, customer relationship management, data processing, and Google integrations. These providers may include Clerk, Google, Cal.com, Vercel, Sanity, and other vendors used to operate the service.
We are not responsible for third-party services that we do not control. Their services may change, become unavailable, or impose additional requirements.
No ranking, lead, or revenue guarantees
OmniLocal provides visibility intelligence and recommendations, not guaranteed search outcomes. We do not guarantee rankings, map-pack placement, AI Overview inclusion, Local Services Ads performance, Google Business Profile performance, leads, calls, appointments, revenue, reviews, or any specific business result.
Google search results and local visibility may change based on location, query, competition, user behavior, Google updates, business data, reviews, and other factors outside our control.
Fees and subscriptions
OmniLocal is currently beta/waitlist-first, and pricing may not yet be generally available. If paid plans, subscriptions, trials, deposits, or other fees are introduced, the applicable pricing and payment terms will be provided at signup, in an order form, or through the product.
Unless otherwise stated in writing, fees are non-refundable except where required by law or expressly agreed by OmniLocal.
Intellectual property
OmniLocal, including its software, design, content, reports, workflows, trademarks, logos, and underlying technology, is owned by Simple Stack LLC DBA OmniLocal or its licensors. These terms do not transfer any ownership rights to you.
Subject to these terms, we grant you a limited, revocable, non-exclusive, non-transferable right to access and use OmniLocal for your internal business purposes.
Suspension and termination
We may suspend or terminate access to OmniLocal if you violate these terms, create risk for the service, misuse connected data, fail to pay applicable fees, or use the service in a way that may harm OmniLocal, users, service providers, or third parties.
You may stop using OmniLocal at any time. Certain provisions, including intellectual property, disclaimers, limitations of liability, and payment obligations, survive termination.
Disclaimers
OmniLocal is provided on an as-is and as-available basis. To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and uninterrupted operation.
Visibility data, search observations, recommendations, and competitor comparisons are informational and may not always be complete, current, or error-free.
Limitation of liability
To the fullest extent permitted by law, Simple Stack LLC DBA OmniLocal will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost revenue, lost data, lost goodwill, or business interruption.
To the fullest extent permitted by law, our total liability for any claim related to OmniLocal will not exceed the amount you paid to OmniLocal for the service giving rise to the claim during the three months before the event, or $100 if no fees were paid.
Indemnification
You agree to defend, indemnify, and hold harmless Simple Stack LLC DBA OmniLocal from claims, damages, liabilities, costs, and expenses arising from your use of OmniLocal, your connected accounts or business data, your violation of these terms, or your violation of any law or third-party right.
Governing law
These terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Venue for disputes will be in the state or federal courts located in Florida, unless applicable law requires otherwise.
Changes to these terms
We may update these terms from time to time. The updated version will be posted on this page with a new last updated date. Continued use of OmniLocal after changes become effective means you accept the updated terms.
